01 Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client", "User", or "you") and Infolock Labs LLP ("Infolock Labs", "we", "us", or "our"), a limited liability partnership registered in India.

By accessing or using our website at infolocklabs.com, submitting a contact form, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

02 Services Description

Infolock Labs provides professional IT and cybersecurity services, including but not limited to:

• Cybersecurity consultancy and risk assessments
• Mobile Device Management (MDM) deployment and management via Microsoft Intune
• Microsoft 365 security hardening and tenant configuration
• Cloud security architecture and posture management (Azure, AWS, GCP)
• Vulnerability Assessment and Penetration Testing (VAPT)
• Managed Security Operations Centre (SOC) services
• Web development (WordPress, Shopify)
• Linux server setup, virtualisation, and infrastructure services
• SIEM implementation and IT automation with Ansible

The specific scope, deliverables, timelines, and pricing for each engagement will be agreed upon in a separate Statement of Work (SOW) or Service Agreement.

03 Engagement & Contracts

Project Initiation

All service engagements commence only after:

1. A detailed scope of work has been agreed in writing (email or formal SOW)
2. Applicable fees and payment terms have been confirmed
3. Any required access credentials or authorisations have been provided

Client Responsibilities

You agree to:

• Provide accurate and complete information required for service delivery
• Grant necessary access, permissions, and authorisations in a timely manner
• Designate a point of contact with authority to make decisions
• Review and provide feedback on deliverables within agreed timeframes
• Ensure all systems and environments you ask us to work on are lawfully under your control

Authorisation for Security Testing

For any penetration testing, VAPT, or security assessment engagement, you represent and warrant that you have full legal authority over all systems, networks, and applications within the defined scope. Infolock Labs will only conduct security testing on systems you have explicitly authorised in the signed scope document.

04 Payment Terms

Invoicing

Unless otherwise agreed in writing:

• Invoices are payable within 14 days of the invoice date
• Project engagements typically require a 50% advance payment before work commences
• The remaining balance is due upon project completion or as per agreed milestones

Accepted Payment Methods

We accept bank transfer (NEFT/RTGS/IMPS), UPI, and other methods as agreed. All prices are in Indian Rupees (INR) unless otherwise specified.

Late Payment

Infolock Labs reserves the right to suspend services on accounts with overdue invoices exceeding 30 days. We may charge interest on late payments at the rate of 1.5% per month on the outstanding amount.

Taxes

All prices are exclusive of applicable GST. GST will be charged at the applicable rate as required by Indian tax law.

05 Intellectual Property

Our IP

All content on our website — including text, graphics, logos, code, and design — is the property of Infolock Labs LLP and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent.

Deliverable Ownership

Upon receipt of full payment, all custom deliverables created specifically for you (e.g., custom scripts, playbooks, configurations) become your property, unless otherwise agreed.

Infolock Labs retains ownership of all pre-existing tools, frameworks, methodologies, and templates used in service delivery.

Client Data

All data, systems, and information you provide to us for the purpose of service delivery remains your property. We will not use your data for any purpose other than delivering the agreed services.

06 Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This includes but is not limited to:

• Security vulnerability findings and assessment reports
• Business processes, infrastructure details, and system configurations
• Pricing, commercial terms, and business strategies

Confidentiality obligations survive the termination of the engagement for a period of 3 years. Confidential information may only be disclosed if required by law or with the other party's written consent.

For clients requiring a formal Non-Disclosure Agreement (NDA), please request one before commencing work.

07 Limitation of Liability

To the maximum extent permitted by applicable law:

• Infolock Labs' total liability for any claim arising from our services shall not exceed the fees paid by you for the specific service that gave rise to the claim
• We shall not be liable for any indirect, consequential, incidental, special, or punitive damages
• We are not liable for any security breach, data loss, or system downtime that occurs outside the scope of our agreed services
• We are not responsible for vulnerabilities or breaches that existed prior to our engagement or that arise from your failure to implement our recommendations

08 Warranties & Disclaimers

Infolock Labs warrants that:

• Services will be performed by qualified professionals with appropriate expertise
• We will comply with applicable laws and industry standards
• We will maintain appropriate professional indemnity insurance

Our website and any free resources are provided "as is" without warranty of any kind. We do not warrant that the website will be uninterrupted, error-free, or that defects will be corrected.

09 Termination

Either party may terminate a service engagement by providing 14 days' written notice. Upon termination:

• You will be invoiced for all work completed up to the termination date
• We will provide all completed deliverables and documentation
• We will return or securely destroy any credentials or access provided
• Both parties' confidentiality obligations continue as stated above

Infolock Labs may terminate immediately if you breach these Terms, fail to pay invoices, or ask us to perform unlawful activities.

10 Prohibited Use

You agree not to use our website or services to:

• Conduct or facilitate any unlawful activities
• Engage in unauthorised access to systems, networks, or data
• Distribute malware, spyware, or other malicious software
• Harass, threaten, or harm any person or organisation
• Violate any applicable local, national, or international law or regulation
• Infringe on the intellectual property rights of any third party

Violation of these prohibitions will result in immediate termination and may be reported to appropriate authorities.

11 Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, specifically:

• The Information Technology Act, 2000 and its amendments
• The Indian Contract Act, 1872
• Other applicable central and state laws

Any disputes arising from these Terms or our services shall first be attempted to be resolved amicably through good-faith negotiation. If not resolved within 30 days, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Haryana, India.

The courts of Haryana, India shall have exclusive jurisdiction over any legal proceedings that cannot be resolved through arbitration.
